This Agreement is between: hereinafter known as Subscriber, and National Telephone Answering Service, hereinafter known as NTAS. Subscriber requests that NTAS furnish messaging services, subject to its tariffs and the following conditions:

1. Subscriber agrees to remit payment for services, each 28 day billing cycle.

2. In the event of no payment, NTAS may cease to furnish service until all charges have been paid, and may terminate this contract without notice. NTAS may withhold messages from any Subscriber who is in arrears of the payment of his/her account and the Subscriber shall pay all collection agency fees and commissions and/or the cost of any action instituted and the costs of any attorney fees made necessary in the collection of any moneys due NTAS for services rendered under this agreement.

3. Subscriber or NTAS may cancel this contract at any time with thirty (30) days written notice to the other party.

4. NTAS shall treat all messages as confidential with the exception that it shall cooperate with all law enforcement agencies in disclosing whatever information they should require in the performance of their legal duties.

5. In view of the difficulties which may arise in the transmission of oral messages by telephone, no liability shall in any case attach to NTAS and all such risks are assumed by the subscriber should any failure occur.

6. Payments of accounts are due within fourteen (14) days from date of the invoice. If payment is not received within twenty-one (21) day from invoice date, service will be suspended until payment is received.

7. Subscriber understands and agrees that if he/she uses NTAS's telephone number, subscriber obtains no rights to the telephone number, and is not entitled to the transfer or referral of calls, except as otherwise provided.

8. All questions regarding the validity, intention or meaning of this agreement or any modifications of it will be construed and resolved under the laws of the State of Tennessee. Any suit, which may be brought to enforce any provisions of this agreement or any remedy with respect thereto, shall be brought exclusively in the Circuit Court of Bradley County, Tennessee, where NTAS has its principal office, and each party consents to the jurisdiction of such court.

9. Both parties understand and acknowledge that this is a service agreement. The sole and exclusive remedy of Subscriber for any loss or damages relating to the subject matter of this agreement, including without limitation, any claim or breach of warranty, breach of contract, negligence, or strict liability, shall be limited to a refund of the amount paid which is attributable to any non-conforming services. Except as stated herein, there are no warranties, express or implied. NTAS shall not be liable to Subscriber, its employees, agents, customers, or to any third-party for any consequential damages, including , but not limited to, lost profits which may in any way arise out of or in connection with the services to be provided hereunder, even if NTAS has been advised of the possibility of such loss or damages.

10. Subscriber agrees to the following terms and conditions of the Time Base billing method:
